Uniondale, June 22, 2012 — Partner Anthony B. Barton was listed in Long Island Business News’ “Who’s Who in Corporate Law 2012.” In the feature, Mr. Barton was asked about the aspects of running a new business specifically what are essential legal issue one advises clients to consider during this scenario?

He responded by stating, “For a new business, the entity chosen must provide limited liability and tax advantages, as well as a clear set of ground rules, through shareholders agreements or operating agreements, for multiple owners in terms of management, capital, compensation and distributions, and transfers and buy-outs. Frequently, businesses will initially have a modest amount of capital and will need to raise additional funds for its day-to-day operations and expansion of its marketing, hiring and inventory needs. Sometimes this capital can be borrowed from private lenders or traditional institutional lenders, but often the business may be forced to offer a portion of its equity to raise funds. The owners must be aware that they may have to address compliance with the applicable Federal and State securities laws in their capital formation plans.”
